By downloading, installing, or using any software, application, or service provided by Pivot Point Labs LLC ("we," "us," or "our"), including Flow: Boxing & MMA Round Timer, you agree to be bound by these Terms of Service. If you do not agree, do not use our products.
These Terms apply to all users of our products and website. We reserve the right to modify these Terms at any time. Continued use after changes are posted constitutes acceptance of the revised Terms.
Software provided by Pivot Point Labs LLC, including Flow: Boxing & MMA Round Timer, is designed to support physical exercise and combat sports training. Combat sports, high-intensity interval training, and martial arts are inherently dangerous activities that carry the risk of serious injury or death.
By using our products, you acknowledge that:
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use our software for personal, non-commercial purposes on devices you own or control. This license does not include the right to sublicense, distribute, modify, reverse-engineer, or create derivative works of our software.

All software, designs, source code, trademarks, trade names, logos, and branding associated with Pivot Point Labs LLC and its products are the exclusive intellectual property of Pivot Point Labs LLC. Nothing in these Terms grants you any ownership interest in our intellectual property.
Our products are provided "as is" and "as available" without warranty of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our software will be error-free, uninterrupted, or free of security vulnerabilities.
To the maximum extent permitted by applicable law, Pivot Point Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, personal injury, or property damage, arising out of or related to your use of our products, even if we have been advised of the possibility of such damages.
Our total cumulative liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $10 USD, whichever is greater.
We reserve the right to suspend or terminate your access to our products at our sole discretion, without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties. Upon termination, your license to use our software immediately ceases. Sections 5, 6, 7, 9, and 10 survive termination.
These Terms are governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to conflict of law principles. You agree that any dispute arising from these Terms or your use of our products will be resolved in a court of competent jurisdiction in the State of New Mexico.
Before filing any formal legal claim, you agree to contact us at the email address below and attempt to resolve the dispute informally. We will make good-faith efforts to resolve the issue within 30 days. If the dispute is not resolved within that period, either party may pursue formal legal action as permitted under Section 9.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Pivot Point Labs LLC regarding your use of our products and supersede any prior agreements or understandings.
